Caldrift Technologies provides specialized Software as a Service (SaaS) solutions primarily for the food business and support care sectors. Our Services include, but are not limited to:

• Bizorderly (Ordering Solution for food and non-food items): A flexible and robust backend platform for online ordering and business management, featuring a customizable menu, order management, customer management, and analytics. It supports various business models including restaurants, cafes, and retail stores.
• EthosCare (Support Care Solution): A unified platform for non-profits, agencies, and private care providers in developmental and community care, featuring client and staff management, built-in compliance, real-time communication, and analytics.

We may update, modify, or discontinue any part of the Services at any time without prior notice.

6. User Responsibilities and Conduct

As a user of our Services, you agree not to:

• Use the Services for any unlawful purpose or in any way that violates any applicable national or international law or regulation.
• Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Services, or which, as determined by us, may harm Caldrift Technologies or users of the Services or expose them to liability.
• Transmit any content that is harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.
• Upload or transmit viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the Services or of any related website, other websites, or the Internet.
• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Services, the server on which the Services are stored, or any server, computer, or database connected to the Services.
• Use any robot, spider, or other automatic device, process, or means to access the Services for any purpose, including monitoring or copying any of the material on the Services.

The Services and their original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of Caldrift Technologies and its licensors. The Services are protected by copyright, trademark, and other laws of both Canada and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Caldrift Technologies.

8. Subscription and Payment Terms

• Subscription: Access to certain Services may require a paid subscription. Subscription terms, fees, and billing cycles will be clearly outlined at the time of purchase.
• Payment: You agree to pay all fees and applicable taxes associated with your subscription in a timely manner. All payments are non-refundable unless otherwise stated in a separate agreement.
• Auto-Renewal: Subscriptions may automatically renew unless you cancel your subscription prior to the end of the current billing cycle.
• Price Changes: We reserve the right to change our subscription fees at any time. We will provide you with reasonable prior notice of any price changes.

9. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may simply discontinue using the Services or contact us to request account deletion.

10. Disclaimer of Warranties

The Services are provided on an "AS IS" and "AS AVAILABLE" basis. Caldrift Technologies makes no representations or warranties of any kind, express or implied, as to the operation of their Services, or the information, content, or materials included therein. You expressly agree that your use of the Services is at your sole risk.

Caldrift Technologies does not warrant that the Services will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Services or the servers that make them available are free of viruses or other harmful components.

11. Limitation of Liability

In no event shall Caldrift Technologies, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Services; (ii) any conduct or content of any third party on the Services; (iii) any content obtained from the Services; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

12. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of the Province of Alberta, Canada, without regard to its conflict of law provisions. You agree to submit to the personal jurisdiction of the courts located in Calgary, Alberta, Canada for the purpose of litigating all such claims or disputes.

13. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Services, and supersede and replace any prior agreements we might have between us regarding the Services.
